Equity Group Holdings Plc shareholders have overwhelmingly approved all proposed resolutions at the company’s 22nd Annual General Meeting (AGM). Held electronically, the meeting underscored strong investor confidence as the Group announced a massive dividend payout, key board appointments, and a strategic leap into the East and Central African insurance markets.
Shareholders adopted the audited financial statements for the year ended December 31, 2025, signaling strong backing for the Group’s regional growth trajectory and financial health.
In a major win for investors, shareholders approved a first and final dividend of Kshs. 21.70 billion (Kshs. 5.75 per share) for the 2025 financial year.
- Growth: This represents a substantial 35.5% increase from the Kshs. 16.04 billion (Kshs. 4.25 per share) distributed for the 2024 financial year.
- Timeline: The dividend is scheduled for payout on or about June 30, 2026, to shareholders on the register as of the close of business on May 22, 2026.
A key highlight of the AGM was the approval of special business resolutions to incorporate three new insurance subsidiaries under Equity Group Insurance Holdings Limited, pending final regulatory nods. This move is designed to deepen the Group’s financial services ecosystem across Kenya and the Democratic Republic of Congo (DRC).
The capital allocation for the new insurance ventures includes:

The meeting also addressed key governance and leadership structures. Shareholders voted to re-elect the following veteran directors to the board:
- Prof. Isaac Macharia (Board Chairman)
- Mr. Jonas Mushosho
- Dr. Evanson Baiya
- Mrs. Farida Khambata
Additionally, shareholders approved the appointment of Dr. Eliane Ubalijoro as a Director, subject to requisite regulatory approvals. Ernst & Young was also re-appointed as the Group’s external auditors until the conclusion of the next AGM.
